Terms and Conditions

These terms and conditions of use (indistinctly the “Terms and Conditions” and/or “T&C”) establish the terms and conditions for access and use of Infinitech Labs, its mobile applications, websites, programs, computer systems, and any application and/or content (collectively referred to as “Infinitech Labs”) products, as well as the related services (indistinctly the “Service” and/or the “Services”) offered and/or provided and/or operated by INFINITECH LABS S.A.P.I. DE C.V. directly or through third parties. The Terms and Conditions, together with the Infinitech Labs privacy policy, are available on the Site (www.infinitechlabs.com) and jointly defines a contract between INFINITECH LABS S.A.P.I. DE C.V. and the user (the “User” or the “Users”) that establishes the general conditions of access and use through which the User can access and use the Services and/or Infinitech Labs; as well as any of the products or services available or accessible through Infinitech Labs.

1. Definitions and Interpretation

The following words and expressions used in these Terms shall have the following meanings unless inconsistent with the context:

1.1. “Account Holder” means an individual or legal entity that creates an account on Infinitech Labs and uses the Services and accepts these Terms and the Contract.

1.2. “Account” means an account created by an Account Holder on Infinitech Labs to use the Services.

1.3. “Contract” means these Terms together with the Risk Disclaimer, the Privacy Policy, the Cookie Policy, and any other policy published on Infinitech Labs.

1.4. “Applicable Legislation” means the law, rule, or regulation of other territories or jurisdictions (as applicable) and as amended over time.

1.5. “Applications” has the meaning set forth in the preamble of these Terms.

1.6. “Blockchain” (Transaction Record) means the public operation recording system for a particular Digital Asset.

1.7. “Transactions” means: (i) depositing funds into your account (a “Deposit”); (ii) withdrawing funds from your account (a “Withdrawal”); (iii) transfer between each Account Holder (a “Transfer”); and (iv) the conversion of fiat to USD, USDT, BTC, XRP (and vice versa) on Infinitech Labs (a “Conversion”).

1.8. “Services” refers to the services offered by INFINITECH LABS S.A.P.I. DE C.V. through Infinitech Labs.

1.9. “Infinitech Labs” means a software application or other mechanism described in point 3 of these T&C.

1.10. “Custody” means the storage and protection of virtual assets and dollars that the user has in their account, which is offered by BitGo, Inc.

1.11. “KYC” (Know Your Client) process of validating the identity of a natural or physical person.

1.12. “KYB” (Know Your Business) process of validating the identity of a legal entity or business.

1. Acceptance of the Terms and Conditions (T&C)

The reference to and/or use of Infinitech Labs includes, but is not limited to, all web services, pages associated within or within each website or app, content, or any material that INFINITECH LABS S.A.P.I. DE C.V. provides through Infinitech Labs or outside of it, and all devices, applications, or services that INFINITECH LABS offers, operates, and/or provides related to these T&C. In these T&C, when we refer to the User, it includes but is not limited to any person who accesses, uses, installs, and/or navigates Infinitech Labs occasionally, frequently, or in any way and/or uses any of the Services provided through Infinitech Labs by INFINITECH LABS S.A.P.I. DE C.V. and/or registers on Infinitech Labs, uses any information, tool, software, or Infinitech Labs functionality, including but not limited to content and updates. Thus, by performing any access, action, navigation, and/or use of Infinitech Labs and/or the Services, the User is accepting these T&C and the Privacy Policy; agrees to be bound and subject to the T&C and the Privacy Policy and therefore undertakes to comply with these T&C, whether doing so as a visitor (only browsing Infinitech Labs without registering or creating an Account) or as a customer (registering on Infinitech Labs) and/or in any other way. Therefore, before performing any access, action, navigation, or use in or through Infinitech Labs or any Service, the User must carefully read all the T&C and the Privacy Policy and freely and voluntarily decide if they agree with them; and if they do not agree with these or any of them, the User should not use Infinitech Labs or the Services in any way.

1. Description of Infinitech Labs

Our company specializes in the issuance of prepaid cards and services, as well as the exchange of virtual assets. We focus on offering innovative financial solutions that allow our clients to manage their resources efficiently and securely.

We offer a wide range of personalized prepaid cards for different needs such as online purchases, travel, and gifts, with options for recharging and managing online through a secure and easy-to-use platform. Additionally, we provide management of service cards for both businesses and individuals, offering flexible payment solutions for businesses and 24/7 customer support.

Regarding the exchange of virtual assets, our secure and regulated platform allows the exchange of cryptocurrencies and other digital assets with advanced trading tools for users with different levels of experience and custody services to protect our clients’ assets.

We operate under the principles of innovation, security, transparency, and compliance. We stay at the forefront of financial technology, implement strict security measures, operate with complete transparency, and comply with all relevant regulations to ensure the legality and ethics of our operations.

A key differentiator of our company is that we do not engage in resource collection, meaning we do not handle deposits nor offer savings or investment products that involve direct management of our clients’ money. Additionally, we offer personalized support and attention for each client, ensuring they receive the best possible service, and we quickly adapt to new trends and regulations in the financial market to offer innovative and effective solutions.

Our mission is to provide secure and efficient financial solutions that facilitate the lives of our clients and support their financial growth and well-being without incurring in resource collection. To use the wallet and its Services, the User must be registered on Infinitech Labs and have an active account (hereinafter the “Registered User”).

INFINITECH LABS S.A.P.I. DE C.V. declares, and the User accepts, that it does not provide any type of financial advisory service. However, it has partnerships or links with companies that offer financial advisory services that may or may not involve transactions with virtual assets.

Depending on the country of residence, a User may not be able to use all the features of Infinitech Labs. It is the User’s responsibility to respect the regulations and laws of the country where they reside or the country from which they are accessing Infinitech Labs, including but not limited to the exchange and transfer regime of each country. To that extent, the User may not use Infinitech Labs and/or its Services to directly or indirectly violate any provision of the applicable legal framework.

4. General Conditions

4.1. Service Users

If the User meets the previously established requirements to use and/or access the Services and/or Site, and voluntarily and at their own discretion decides to use them, they must register with Infinitech Labs. By registering and using the Services and/or Infinitech Labs, the Registered User acknowledges and agrees that they have undertaken the necessary review, diligence, and personal analysis required for such use.

Upon registration, the User agrees to provide true, accurate, and updated information. It is their responsibility to update this information as needed and from time to time. Additionally, by registering, the Registered User authorizes INFINITECH LABS S.A.P.I. DE C.V. to conduct inquiries, consultations, database cross-checks, and any other actions deemed necessary to verify the User’s identity or any data, as outlined in the Privacy Policy, and to ensure compliance with current regulations concerning anti-money laundering, counter-terrorism financing, and/or protection against fraud, any criminal activity, or violations of legal norms.

INFINITECH LABS S.A.P.I. DE C.V. reserves the right to request additional information beyond the registration form, or fiscal or tax documents as deemed necessary. It may also use any means or mechanism available to verify the provided information, including but not limited to: inquiries with credit bureaus, public institution databases, among others, which the User accepts, and is responsible for the accuracy of the provided data. The User guarantees and is responsible for the truthfulness, accuracy, currency, and authenticity of the personal data entered. If the information cannot be verified, the User agrees to the suspension of their Account until they provide the required information for confirmation.

The User acknowledges that they are solely responsible for maintaining the confidentiality of their chosen personal security key and, therefore, is responsible for the information and use of their Account. By registering with Infinitech Labs, the User accepts the responsibility to maintain control over the security of any information, identification documents, passwords, or any code used to access Infinitech Labs. Any negligence or lack of appropriate diligence by the User regarding the management of such information may result in unauthorized access to their Account by third parties and the loss or theft of information or any other damage and/or loss.

The User agrees not to disclose or share with third parties any information, IDs, passwords, or any codes used to access the Site. INFINITECH LABS S.A.P.I. DE C.V. will not be responsible for any loss or damage suffered by the User as a result of unauthorized access to their Account due to hacking or loss of passwords, or failure to act in a timely manner regarding any alerts or notifications that may be sent to INFINITECH LABS S.A.P.I. DE C.V. If the User believes that their access information has been compromised, they must contact Infinitech Labs immediately through our customer service channels.

Account verification, including the authentication of the Registered User, involves the User providing personal information so that INFINITECH LABS S.A.P.I. DE C.V. can confirm, validate, and verify that the individual registering with Infinitech Labs is indeed who they claim to be. INFINITECH LABS S.A.P.I. DE C.V. reserves the right to request any information it deems pertinent and necessary for the User to operate and/or use any of the Services provided. The verification of the User’s identity will be conducted by INFINITECH LABS S.A.P.I. DE C.V. through mechanisms, methods, and/or authentication factors that meet legal and regulatory requirements in these areas, provided directly by INFINITECH LABS S.A.P.I. DE C.V. and/or through a third party contracted for this purpose.

4.2. Termination and Suspension of Accounts

The User may terminate this agreement with INFINITECH S.A. DE C.V. at any time and thereby close the Account once all obligations to INFINITECH S.A. DE C.V. have been fulfilled. To close the Account, the User must send a request to the notification email of Infinitech Labs.

When an Account is closed: (i) the User’s right to use the Account to access the Services ceases immediately; (ii) the data or content associated with the Account are deleted and dissociated from the User and the Account (unless applicable law requires retaining, returning, or transmitting them to the User); and (iii) if there is any balance in the Account, it will be withdrawn to the destination account informed by the User. If the User has never informed an Account for this purpose, the balance in their Account will remain blocked until the User complies with the process for withdrawing the balance from their Account.

The informed destination account must be under the Registered User’s name; otherwise, INFINITECH LABS S.A.P.I. DE C.V. may refrain from making such online payment, and the User must contact the company. Any virtual asset balance can only be transferred to a bank account once converted to fiat. INFINITECH LABS S.A.P.I. DE C.V. will transfer the amount owed as soon as the Registered User requests it and within the deadlines specified by INFINITECH LABS S.A.P.I. DE C.V. for these purposes.

Moreover, unauthorized use of Accounts other than the User’s own will, at the discretion of INFINITECH LABS S.A.P.I. DE C.V., result in the immediate suspension or closure of all involved Accounts, as well as any Service provided by INFINITECH LABS S.A.P.I. DE C.V. Any attempt to do so or to assist third parties in the unauthorized use of Accounts, whether by distributing instructions, software, or tools for that purpose, will, at the discretion of INFINITECH LABS S.A.P.I. DE C.V., result in the immediate closure of the involved Accounts.

Finally, the User agrees and acknowledges that INFINITECH LABS S.A.P.I. DE C.V. may, without prior notice, limit, suspend, or terminate the Services and Accounts, prohibit access to the Site, its content, services, and tools, restrict or remove stored content, and take technical and legal actions to keep Users out of Infinitech Labs if it deems they are violating the T&C. By creating an Account, the User accepts that the decision to cancel or block the Account may be based on confidential criteria essential to INFINITECH LABS S.A.P.I. DE C.V.’s compliance and risk protocols, and the User understands and agrees that the company is not obliged to disclose details of these internal protocols.

4.3. Service Enablement

The enablement of the Services is conditioned on the satisfactory completion by INFINITECH LABS S.A.P.I. DE C.V. of the Know Your Customer (“KYC”) or Know Your Business (“KYB”) process contemplated in Infinitech Labs and/or the internal manuals of INFINITECH LABS S.A.P.I. DE C.V., for the enablement of the Services, which includes the provision of the information and documents required to fully comply with the process. This includes but is not limited to: checking restrictive and public lists.

Notwithstanding the foregoing, INFINITECH LABS S.A.P.I. DE C.V. reserves the right to request additional information or documents when it deems appropriate. If the additional information requested by INFINITECH LABS S.A.P.I. DE C.V. is not timely provided, the company may suspend or entirely cancel the provision of the Service.

The initial activation of the Services does not limit the right of INFINITECH LABS S.A.P.I. DE C.V. to conduct subsequent reviews of the provided information or documentation and to determine that the User does not meet the necessary conditions to access the Services. In such a case, INFINITECH LABS S.A.P.I. DE C.V. may suspend or entirely cancel the provision of the Services.

INFINITECH LABS S.A.P.I. DE C.V. may deny the provision of Services to Users who have unfavorable or negative results or records for the User, their shareholders, partners, owners, and/or administrators (including legal representatives and board members, if applicable), according to its affiliation policies, risk assumption, or commercial limitations, as evidenced in the initial enablement process or any subsequent information update requirement.

4.4. Fees and Charges

INFINITECH LABS S.A.P.I. DE C.V. charges the following fees for the services provided through Infinitech Labs:

SPEI Transfer Service: A fee of $15 MXN plus VAT will be charged for each SPEI transfer made.

Regarding commissions, no commission fees are charged.

INFINITECH LABS S.A.P.I. DE C.V. reserves the right to modify fees and commissions at any time. Fee changes may be made without personal notification to users. Instead, notices of fee changes will be made through the contact means provided by the users, such as emails and notifications within the Infinitech Labs platform.

The new fees and commissions will take effect from the date of publication on the official INFINITECH LABS website (www.infinitechlabs.com) or through any other communication means that the company deems appropriate. It is the user’s responsibility to periodically review these means to stay informed of any updates to fees and commissions. By continuing to use the services of INFINITECH LABS S.A.P.I. DE C.V., the user accepts and agrees to comply with the fees and commissions in effect at the time of using the services.

4.5. Processing Time Clause for Withdrawal

The User acknowledges and agrees that, upon requesting the withdrawal of any of the services contracted with INFINITECH LABS S.A.P.I. DE C.V., the process for such a transaction to be reflected may take up to twenty-eight (28) business days. This period includes the time required for internal administrative management, as well as any other activities related to the effective termination of the service concerned. During this period, INFINITECH LABS S.A.P.I. DE C.V. commits to taking all pertinent actions to ensure the process is carried out efficiently and in accordance with applicable legal provisions. The User will be informed once the transaction has been completed. INFINITECH LABS S.A.P.I. DE C.V. will not be liable for delays attributable to third parties or circumstances beyond its reasonable control. The User is encouraged to contact INFINITECH LABS S.A.P.I. DE C.V.’s customer service if additional assistance is needed or to resolve any doubts related to the service withdrawal process.

4.6. Risks of Virtual Assets and Use of Infinitech Labs

The exchange of goods or products, real or virtual, as well as money or currency, carries significant risk. The prices of these can vary over time and due to various events. Due to these price variations, the value of assets can increase or decrease at any time without prior notice.

By using Infinitech Labs, the User assumes, declares, and guarantees to be aware that any good—virtual or not—is subject to significant value changes, which can result in a value equal to zero or a sudden increase. There is an inherent risk of money losses due to the exchange of goods in both the real and virtual markets, and the same applies to virtual assets.

INFINITECH LABS S.A.P.I. DE C.V. reserves the right to refuse to process any order for transfer, purchase, sale, or withdrawal of virtual assets and/or dollars at its sole discretion if INFINITECH LABS S.A.P.I. DE C.V. suspects that the order involves (or has a high risk of involving) activities related to money laundering, terrorism financing, fraud, or any type of financial crime, or activity that does not comply with these T&C; or if required by judicial or administrative order by any competent authority. In such circumstances, INFINITECH LABS S.A.P.I. DE C.V. will cancel or refuse to process the order, without any obligation to allow a subsequent order at the same price or on the same terms as the canceled or refused order.

Finally, it is important to note that there may be other risks not considered or identified in these T&C, which Registered Users are willing to bear, releasing INFINITECH LABS S.A.P.I. DE C.V. from any liability for them. Therefore, the User should carefully analyze their financial situation and risk tolerance before exchanging virtual assets and dollars on Infinitech Labs.

Any element not contemplated in these terms and conditions will be subject to the laws of the United Mexican States.

5. Liability

INFINITECH LABS S.A.P.I. DE C.V. shall not be held responsible for technical errors that are beyond its control or for damages caused by force majeure. INFINITECH LABS S.A.P.I. DE C.V. does not guarantee uninterrupted data availability and may perform maintenance tasks during a freely chosen period. Therefore, the User accepts and agrees that INFINITECH LABS S.A.P.I. DE C.V. shall not be liable for any damage, harm, or loss to the User caused by system failures, server issues, internet problems, or wallet issues.

The User accepts and agrees that INFINITECH LABS S.A.P.I. DE C.V. shall not be liable for any damage, harm, or loss to the User caused by system failures, server issues, internet problems, or issues with Infinitech Labs. INFINITECH LABS S.A.P.I. DE C.V. shall also not be liable for any virus that may infect the User’s equipment as a result of accessing, using, or examining Infinitech Labs, or from any data transfer, images, texts, or audio contained therein. The User shall not hold INFINITECH LABS S.A.P.I. DE C.V. liable nor demand payment for lost profits or any damage resulting from technical difficulties or system, internet, or Infinitech Labs failures.

INFINITECH LABS S.A.P.I. DE C.V. does not guarantee continuous or uninterrupted access and use of Infinitech Labs. The system may eventually be unavailable due to technical difficulties, internet failures, or any other circumstances beyond or within the control of INFINITECH LABS S.A.P.I. DE C.V.; in such cases, efforts will be made to restore service as quickly as possible without assigning any type of liability. INFINITECH LABS S.A.P.I. DE C.V. shall not be responsible for any error or omission in the contents of Infinitech Labs.

If INFINITECH LABS S.A.P.I. DE C.V. is unable to deliver the Service described in these Terms and Conditions of use of Infinitech Labs due to reasons beyond its control, including but not limited to: events or factors of force majeure, regulatory changes, changes in law, or sanctions, it shall not be held liable to the Users regarding the Service offered under this agreement for the duration of such event or factor.

6. Intellectual Property

All material on Infinitech Labs is owned by INFINITECH LABS S.A.P.I. DE C.V. and is protected by copyright, trademark rights, intellectual property rights, and other applicable international laws. The User may review, print, and/or download copies of the material on Infinitech Labs solely for personal, informational, and non-commercial use.

The User may not copy, modify, distribute, sell, sublicense, or lease any part of our Services and/or proprietary software, applications, programs, and computing services owned and/or developed by INFINITECH LABS S.A.P.I. DE C.V., or by third parties contracted by it. Additionally, the User may not reverse engineer or attempt to extract any of our source codes unless they have our written permission or are permitted to do so under applicable law.

The software, texts, reports, images, graphics, information, prices, exchanges, videos, and audios used on Infinitech Labs are also the property of INFINITECH LABS S.A.P.I. DE C.V., unless otherwise expressly stated. These products, goods, and materials must not be copied, reproduced, modified, republished, uploaded, posted, transmitted, collected, or distributed commercially, whether automated or manually. The use of any material on another site or computer network for any purpose other than Infinitech Labs of INFINITECH LABS S.A.P.I. DE C.V. is strictly prohibited; any unauthorized use will be considered a violation of copyright, trademark rights, intellectual property rights, and other applicable international laws, potentially resulting in civil or criminal penalties.

INFINITECH LABS S.A.P.I. DE C.V. reserves the right to modify these Terms and Conditions at any time, and such changes will be effective from the moment they are published. INFINITECH LABS S.A.P.I. DE C.V. commits to making reasonable efforts to inform Users of material changes to the Terms and Conditions through the channels it deems appropriate, but it is ultimately the User’s responsibility to periodically review the Terms and Conditions of Infinitech Labs. If Users continue to use and access the Site after changes to the Terms and Conditions have been made, it will signify their acceptance of those changes.

If Users have any questions, complaints, comments, or suggestions regarding these Terms and Conditions, their rights and obligations arising from these Terms and Conditions, and/or the use of Infinitech Labs and/or the Services and/or their Account, they are requested to contact us at soporte@infinitechlabs.com.

7. Final Provisions

Any act agreed upon by INFINITECH LABS S.A.P.I. DE C.V. and the User electronically and/or remotely, as well as the information contained in these Terms and Conditions, is fully valid under the current legal standards.

Both INFINITECH LABS S.A.P.I. DE C.V. and the Users recognize and accept the use of data messages, digital and/or electronic signatures, and authorize INFINITECH LABS S.A.P.I. DE C.V. to process them for authentication, verification, validation, KYC, and KYB purposes.

8. User Acceptance

The User accepts and acknowledges that these Terms and Conditions establish the rules of a legal, valid, and binding contract.

The User declares that they are over 18 years old, (i) have the legal capacity to contract, (ii) own a personal email address, and (iii) have a personal cell phone number, which allows them to receive calls and SMS messages. Therefore, minors, persons temporarily or permanently incapacitated to contract, or those without a personal email account or personal cell phone number cannot operate in Infinitech Labs.

The User SWEARS UNDER OATH to comply with the Federal Law for the Prevention and Identification of Operations with Illicit Resources and other applicable legal provisions, SWEARING that the funds, assets, and other values used now or in the future for operations, payment of contracts, or debts are and will be of lawful origin and are not related to money, capital, goods, values, or titles from illicit activities generating the crime of money laundering. Consequently, the User exonerates INFINITECH LABS S.A.P.I. DE C.V. from any unusual activity carried out through the INFINITECH LABS APP.

The User accepts and declares that they will not use their Account or Infinitech Labs to engage in illegal or criminal activities of any kind, including but not limited to money laundering, financing terrorism, financial terrorism, malicious hacking, or violation of the provisions stipulated in legal regulations, including but not limited to regulations governing financial entities.

The User recognizes and accepts that for contracts, acts, and/or legal transactions between the User and INFINITECH LABS S.A.P.I. DE C.V., data messages will be used as documents and electronic means, recognizing and accepting the methods, technologies, systems, tools, and factors provided by INFINITECH LABS S.A.P.I. DE C.V. through its Infinitech Labs APP for any act, contract, and/or legal transaction in Infinitech Labs and/or with INFINITECH LABS S.A.P.I. DE C.V., where good faith and the duty of mutual collaboration between the User and INFINITECH LABS S.A.P.I. DE C.V. will prevail as guiding and essential principles.

In this measure, any act by the User in Infinitech Labs implies acceptance of the methods, technologies, systems, tools, and factors provided by INFINITECH LABS S.A.P.I. DE C.V. and/or Infinitech Labs as valid and recognized. The User must refrain from carrying out any act, contract, signature, or transaction if they consider that any of the methods, technologies, systems, tools, and/or factors provided by INFINITECH LABS S.A.P.I. DE C.V. and/or Infinitech Labs do not meet any criteria of security, trust, or integrity.

INFINITECH LABS S.A.P.I. DE C.V. may, at any time and at its sole discretion, suspend or permanently disable the User’s access to the Site.

The User accepts that the data provided to INFINITECH LABS S.A.P.I. DE C.V. during the registration process, such as their full name, identification number, identification document data, physical or email address, cell phone number, and any other required information, must be true and up-to-date.

INFINITECH LABS S.A.P.I. DE C.V. reserves the right to request proof and/or additional information to verify the information provided by a User, as well as to temporarily or permanently suspend those Users whose data could not be confirmed. The User will be solely responsible for any damage caused by incorrect, false, or outdated information provided.

The User understands and accepts that INFINITECH LABS S.A.P.I. DE C.V. reserves the right to reject a registration request or cancel or suspend an Account, temporarily or permanently, in case of detecting inconsistencies or inaccuracies in the information provided by a User or in case of detecting suspicious or unusual activities, without such a decision generating indemnity or compensation rights for the User.

The User recognizes and accepts that INFINITECH LABS S.A.P.I. DE C.V. reserves the right to remove, modify, add, cease supporting, or outsource the products and Services it develops at any time and without prior notice.

Finally, the User recognizes and accepts each of the clauses, conditions, and obligations established in this document and swears to comply faithfully.

These Terms and Conditions of use of Infinitech Labs are governed by the laws of the United Mexican States.
